By accessing or using the DK Wholesale website (dkwholesale.us) and any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

DK Wholesale reserves the right to update or modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

DK Wholesale operates as a B2B wholesale distribution and trade facilitation platform. We connect suppliers with buyers and facilitate transactions. DK Wholesale may act as a distributor, intermediary, or matchmaker depending on the transaction type.

The Platform is intended for business-to-business (B2B) use. By using the Platform, you represent that you are acting on behalf of a business entity and are authorized to enter into binding agreements on its behalf.

DK Wholesale charges a 15% service commission on clearance, liquidation, and closeout transactions. This commission covers sourcing, logistics coordination, buyer matching, quality inspection, and after-sales support.

The commission is calculated based on the gross transaction amount prior to any discounts, returns, or adjustments. Commission terms are specified in the applicable Supplier Cooperation Agreement.

DK Wholesale reserves the right to adjust commission rates with 30 days' written notice. Any special pricing arrangements must be documented in writing.

While DK Wholesale strives to provide accurate product information, all product listings — including descriptions, images, specifications, and pricing — are provided for reference purposes only. Actual products may vary.

Prices displayed on the Platform are indicative market references and do not constitute binding offers. Final pricing is subject to negotiation and confirmation between the transacting parties.

Suppliers are solely responsible for the accuracy and legality of product information they provide. DK Wholesale does not independently verify all supplier claims.

Clearance, liquidation, and closeout merchandise is sold "AS-IS" with no warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Buyers acknowledge that liquidation goods may include customer returns, overstock, shelf pulls, or damaged packaging items. Product condition varies and may not be consistent across pallets or lots.

DK Wholesale does not guarantee specific product grades, conditions, or manifest accuracy for liquidation lots. Buyers are encouraged to inspect goods upon receipt and report discrepancies within 48 hours.

Certain products listed on the Platform may be subject to Minimum Advertised Price (MAP) policies set by brand owners or manufacturers. Users must comply with all applicable MAP policies when reselling products purchased through DK Wholesale.

DK Wholesale is not liable for any MAP violations committed by buyers after purchase. Buyers are solely responsible for understanding and adhering to the MAP policies of the brands they purchase.

Violation of MAP policies by a buyer may result in suspension or termination of their account and business relationship with DK Wholesale.

All brand names, trademarks, images, and logos displayed on the Platform are the property of their respective owners. DK Wholesale is an independent reseller and is not affiliated with, authorized by, sponsored by, or endorsed by any brand or trademark owner listed on this platform.

Product listings that include branded merchandise — particularly clearance, liquidation, and overstock items — are offered for resale under the First Sale Doctrine (17 U.S.C. § 109) and applicable resale rights under the laws of the buyer's jurisdiction. DK Wholesale makes no claim of brand sponsorship, partnership, or official dealer status.

Buyers are solely responsible for ensuring that the resale of branded products complies with the intellectual property laws, import regulations, and resale restrictions applicable in their country or region. Certain jurisdictions may impose additional restrictions on the resale of branded goods, including but not limited to parallel import regulations and consumer protection requirements.

Certain products listed on the Platform are classified as regulated or sensitive commodities (e.g., rare earth minerals, coal, and other controlled goods). These products are listed for informational and consultation purposes only.

Transactions involving regulated commodities are subject to applicable export control laws, international trade regulations, sanctions, and licensing requirements. DK Wholesale does not facilitate direct online transactions for regulated commodities.

Users interested in regulated commodities must contact our advisory team for a compliance assessment before any transaction can proceed. DK Wholesale reserves the right to decline any transaction that may violate applicable laws or regulations.

Users agree not to circumvent the Platform to conduct transactions directly with suppliers or buyers introduced through DK Wholesale. This restriction applies for a period of 24 months following the initial introduction.

If a user is found to have bypassed the Platform to avoid commission payments, DK Wholesale reserves the right to pursue the full commission amount plus a penalty fee equal to 100% of the commission owed, in addition to any legal remedies available.

Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

Users agree not to: (a) provide false or misleading information; (b) impersonate any person or entity; (c) upload harmful content, malware, or unauthorized data; (d) attempt to access other users' accounts or Platform systems without authorization.

DK Wholesale may suspend or terminate any account that violates these Terms or engages in fraudulent or harmful activities.

All content on the Platform, including text, graphics, logos, and software, is the property of DK Wholesale or its licensors and is protected by applicable intellectual property laws.

Users may not copy, reproduce, distribute, or create derivative works from Platform content without prior written permission from DK Wholesale.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DK WHOLESALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM.

DK Wholesale's total liability for any claim arising from the use of the Platform shall not exceed the commission fees paid by the user to DK Wholesale in the 12 months preceding the claim.

DK Wholesale is not responsible for: (a) product quality or defects; (b) shipping damage or loss during transit; (c) disputes between buyers and suppliers; (d) compliance failures by users; (e) losses due to market price fluctuations.

Users agree to indemnify, defend, and hold harmless DK Wholesale, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from: (a) the user's violation of these Terms; (b) the user's violation of any applicable law; (c) any third-party claims related to products purchased or sold through the Platform.

Any disputes arising from these Terms or the use of the Platform shall first be attempted to be resolved through good-faith negotiation between the parties.

If negotiation fails, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, California, under its Commercial Arbitration Rules.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection and use of information as described in our Privacy Policy.

DK Wholesale complies with the California Consumer Privacy Act (CCPA) and other applicable data protection laws.

DK Wholesale may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice.

Upon termination, all provisions of these Terms that by their nature should survive shall survive, including but not limited to anti-circumvention obligations, limitation of liability, indemnification, and dispute resolution.
